SIIG: Getting the balance: legal issues in social investment

This session will explore the Micro Rainbow case study, with contributions from foundation investor Barrow Cadbury Trust, and lawyers from Bates Wells who represented the foundations and Weil who represented Micro Rainbow. We will also hear about the wider context and work on these themes from the Equality Impact Investing Project.

The recent investment into Micro Rainbow by a number of SIIG members raised key issues including the amount of time spent negotiating the legal terms of direct investments, the role of pro bono lawyers, the complexity of having investors in different places in the capital structure, and the difficult to navigating the power imbalance between investor and investee.
